Definitions
For the purpose of these Terms and Conditions, the Company (referred to as either “us”, “we”, “The Company,” or “our” in this Agreement) refers to Harp Renewables Ltd.
By accepting this quote provided by Harp Renewables Ltd., you agree to be bound by these Terms and Conditions. Please review them carefully before proceeding with the acceptance of this quote.
The quote provided is valid for 30 days from the date of issue, unless otherwise specified. After this period, Harp Renewables Ltd. reserves the right to revise the quote based on updated costs, availability, or other factors. The service or products included in this quote are detailed in the quote document provided. Any additional work, changes, or variations requested by the client will be subject to a revised quote or additional charges.
- Pricing and Payment Terms
Prices listed in this quote are exclusive of taxes unless otherwise stated. All quoted prices are based on an Ex Works (EXW) basis unless otherwise stated, excluding shipping costs. A deposit of 50% is required along with a purchase order (P/O), with the balance due prior to delivery. In some cases, a final payment percentage may be withheld until completion of work and installation, the date on which the machine is commissioned onsite, or the delivery of the product. All payments must be made immediately upon invoicing. The project will only commence after the receipt of payment. Late payments in the final payment may incur a 1.5% late fee per month. - Revisions and Additional Costs
If additional work is required beyond the original scope outlined in the quote, Harp Renewables Ltd. will provide a revised quote for approval before proceeding. Any costs resulting from unforeseen circumstances, such as increased material costs or delays caused by the client, will be communicated to the client and added to the final invoice. - Cancellations and Refunds
Cancellation of services after the acceptance of the quote may result in the forfeiture of any deposits paid. Harp Renewables Ltd. reserves the right to charge for any work completed up to the point of cancellation. Refunds are only provided in cases where services have not commenced, or products have not been delivered, subject to our refund policy. - Delivery of Products or Completion of Services
Estimated delivery or completion dates are provided as a guide and are subject to change based on factors outside of our control, such as supplier delays or weather conditions. We will make reasonable efforts to complete the work or deliver products by the agreed-upon date but cannot be held responsible for delays caused by third-party suppliers, clients, or other factors beyond our control. Please be aware that items listed under the “Custom Items” section of the quote may have significantly longer lead times due to their tailored nature. All prices are subject to a separate shipping cost, which will be invoiced separately. All quoted prices are based on an Ex Works (EXW) basis, meaning shipping is not included in the quote. The customer is responsible for the safe unloading of the equipment (e.g., containers, crates). However, should the customer prefer not to handle this responsibility, we can arrange unloading services at an additional cost to be included in the final quote. - Chargeable Items
Installation and Training: Harp Renewables Ltd. will train the customer’s employees on how to operate and maintain the equipment on a daily basis. Only trained personnel can operate the equipment. Trained personnel must sign a training completion document. If the equipment is operated by untrained personnel and breaks down or is damaged, the warranty is null and void, and call-out charges outlined in the service agreement will apply. Prices for Installation and Training are provided as the total per unit.
Remote Monitoring & Alert Notifications: Harp Renewables Ltd. offers remote monitoring and alert notifications for the equipment. This service helps identify potential issues and provides alerts for timely interventions. Prices are provided as the total per unit.
- Service Agreement
The Service Agreement section consists of two key items: the Machine Service Agreement and the Annual Subscription Renewal. The Machine Service Agreement covers regular maintenance, service checks, and any additional support agreed upon within the contract period. The Annual Subscription Renewal is a recurring fee that enables continued access to specific services, such as remote monitoring and alert notifications, and keeps the equipment warranty active.
While both prices are shown for your reference, they are not included in the total quote price, as they will be invoiced separately. This transparency ensures that you have a clear understanding of these ongoing costs, which are essential to the long-term reliability and warranty coverage of the equipment. To avail of the warranty, a service agreement must be accepted by the customer. The terms and conditions of the service agreement are outlined in the service agreement document available upon request. Prices are provided as the total per unit.
- Liability and Warranty
Harp Renewables Ltd. provides a 365-day warranty from the date of commissioning, covering any manufacturing defects in our products and services. This warranty does not extend to normal wear and tear, misuse, or damage caused by external factors beyond our control. To officially start the warranty period, we ask that you notify us of the commissioning date via email at the time of commissioning. If we do not receive this notification, the warranty period will automatically begin from the shipping date.
In total, the warranty period is set at 18 months, which includes a maximum stocking period of 6 months, followed by an additional 12 months of coverage. Please keep in mind that a signed service agreement is required to validate this warranty. For more information, refer to the service agreement for specific terms and conditions.
- Intellectual Property
All designs, plans, or concepts provided by Harp Renewables Ltd. remain the intellectual property of the company unless otherwise agreed in writing. Any unauthorized reproduction or use of these materials is prohibited.
By proceeding with the acceptance of the quote, the customer acknowledges that they have read, understood, and agreed to these Terms and Conditions.
